First Federal, originally founded in 1905, is a
federally chartered stock savings and loan association headquartered in
Independence, Kansas. Its deposits are insured up to the maximum allowable
amount by the Federal Deposit Insurance Corporation (the "FDIC").
First Federal serves Montgomery, Crawford and Wilson Counties and the
eastern part of Chautauqua County in Kansas through its main office
located at Sixth and Myrtle, Independence, Kansas and three full service
branches located at McArthur and Eleventh, Coffeyville, Kansas, First &
Broadway, Pittsburg, Kansas and Eighth and Main, Neodesha, Kansas. First
Federal also maintains a loan production office in leased space in
Lawrence, Kansas which is approximately 150 miles North of Independence.
First Federal has been, and intends to continue to be, a community-oriented financial
institution offering a variety of financial services to meet the needs of the communities
it serves. The Association attracts deposits from the general public and uses such
deposits, together with borrowings and other funds, to originate one-to-four family
residential mortgage loans. To a much lesser extent, the Association also originates
loans secured by multi-family real estate and construction loans. The Association
also invests in mortgage-backed securities which are insured by or guaranteed by federal
agencies, in securities issued by the U.S. government or agencies thereof and in other
investment securities.
Holding Company
The Holding Company (the "Company") was formed at the direction of First
Federal in June 1993, for the purpose of owning all of the outstanding
stock of First Federal following the Company's initial public offering.
The Holding Company is incorporated under the laws of the State of
Delaware and is authorized to do business in Kansas, and generally is
authorized to engage in any activity that is permitted by the Delaware
General Corporation Law. The business of the Holding Company currently
consists only of the business of First Federal. The holding company
structure, however, provides the Holding Company with greater flexibility
than the Association to diversify its business activities, through
existing or newly formed subsidiaries, or through acquisitions or mergers
of both mutual and stock thrift institutions as well as other companies.
